1. Professional Incubation Scope

herrains.com is a premier B2B platform providing one-stop brand incubation services for the global fashion footwear and handbag industry. Our services include technical consulting, 3D prototyping, and Demand-Led Manufacturing (DLM). By engaging our services, you warrant that you are acting in a professional business capacity.

2. Service Definition: Incubation & Manufacturing

Our services are categorized into two core phases:

• Development & Incubation Phase: Technical auditing, 3D digital modeling, Tech-pack creation, and brand startup consulting.
• Manufacturing Phase: Material sourcing, sampling, and mass production. Each phase is governed by specific technical milestones and commercial agreements.

3. Intellectual Property and Confidentiality

• Client Ownership: All original designs, sketches, and proprietary assets provided by the Client remain the Client's exclusive property.
• Confidentiality: herrains commits to absolute non-disclosure. We will not reveal your designs or business strategies to third parties. A formal Non-Disclosure Agreement (NDA) can be executed upon request to provide a legal shield for your creative assets.

4. Resource Commitment and Fees

The brand incubation and technical development process involves irreversible expert labor and resource allocation. Once technical work (such as 3D modeling or tech-pack creation) has commenced, all associated service fees are non-refundable, representing the cost of expert labor and resource reservation.

5. Pre-Production (PP) Sample Protocol

The PP Sample serves as the definitive quality benchmark for your brand's production.

• Approval: Mass production begins only after the Client provides written approval of the PP sample.
• Technical Finality: Any production that aligns with the approved PP sample specifications is considered contractually compliant.

6. Manufacturing Standards and Tolerances

As high-end footwear and handbags involve handcrafted processes:

• Natural Variance: Minor variations in leather grain, texture, and handcrafted stitching are inherent characteristics of luxury craftsmanship and not defects.
• Industry Tolerances: A quantity fluctuation of ±3% and minor color deviations due to dye lots are considered acceptable within global industry standards.

7. Shipping and Risk Transfer

Unless otherwise agreed in writing, orders are fulfilled on an EXW (Ex-Works) or FOB (Free On Board) basis. The risk of loss or damage passes to the Client once the goods are delivered to the carrier.

8. Force Majeure

herrains is not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, material shortages, labor strikes, or government-imposed trade restrictions.

9. Limitation of Liability

herrains’ total liability is strictly limited to the replacement or repair cost of the disputed goods and shall not exceed the actual amount paid for the specific order. We are not liable for any indirect or consequential loss of profits.

10. Governing Law

These Terms are governed by the laws of the People’s Republic of China. Any disputes shall be settled through friendly negotiation or via the court of competent jurisdiction in Chengdu, China.
